Orion’s Embrace CIC – Membership Terms & Conditions
1. Introduction
Orion’s Embrace CIC is a Community Interest Company established to support emotional wellbeing, personal development, and community connection.
Membership is a governance role within the CIC and forms part of the legal structure of the organisation.
These Terms & Conditions outline the responsibilities, expectations, and conditions of becoming and remaining a Member.
2. Nature of Membership
2.1 Membership is a governance role, not an operational or employment role.
2.2 Members are part of the legal structure of the CIC and help support its purpose and direction.
2.3 Members do not manage the day-to-day running of the CIC unless separately appointed as a Director.
3. Purpose and Alignment
3.1 Members agree to support the purpose of Orion’s Embrace CIC, which is to promote:
- Emotional wellbeing
- Personal growth
- Holistic support
- Community connection
3.2 Members agree to act in the best interests of the CIC and the community it serves.
4. Member Involvement and Contributions
4.1 Members are welcome to:
- Share ideas, suggestions, and feedback
- Propose sessions, workshops, courses, or programmes
- Contribute to community initiatives
4.2 This applies to all Members, regardless of whether they are practitioners, therapists, or non-practitioners.
4.3 Any proposed activities must align with the CIC’s purpose and be approved by the Directors before delivery.
5. Governance and Decision Making
5.1 Members may:
- Vote on key decisions affecting the CIC
- Participate in general meetings where applicable
5.2 Key decisions may include (but are not limited to):
- Changes to the Articles of Association
- Structural or governance changes
- Winding up of the CIC
5.3 Day-to-day management and operational decisions remain the responsibility of the Directors.
6. Conduct and Standards
6.1 Members must:
- Act in good faith at all times
- Uphold the values of respect, inclusivity, and integrity
- Conduct themselves in a way that supports the CIC’s reputation
6.2 Members must:
- Avoid conflicts of interest where possible
- Declare any conflicts of interest where they arise
6.3 Members must not act in a way that brings the CIC into disrepute.
7. Financial Liability
7.1 Orion’s Embrace CIC is a Company Limited by Guarantee.
7.2 By becoming a Member, you agree that:
- Your financial liability is limited to £1 (one pound)
- This amount is only payable if the CIC is wound up with outstanding debts
- You have no further personal financial responsibility beyond this amount
8. Legal and Structural Understanding
8.1 Members acknowledge that:
- The CIC operates for community benefit and not for private profit
- No dividends, shares, or financial gain are distributed to Members
- The CIC is governed by its Articles of Association and applicable UK law
9. Membership Term and Review
9.1 Membership is granted for a period of 12 months from the date of approval.
9.2 At the end of this period, membership will be reviewed by the CIC.
9.3 Membership may be:
- Renewed
- Extended
- Or declined
at the discretion of the CIC.
10. Resignation of Membership
10.1 A Member may resign at any time by providing written notice to the CIC.
10.2 Where a Member has agreed to deliver any sessions, workshops, courses, or programmes:
- These must be fulfilled as agreed
- Unless otherwise agreed in writing with the CIC
11. Termination of Membership
11.1 The CIC reserves the right to terminate membership immediately where:
- These Terms & Conditions are breached
- The Member acts contrary to the CIC’s purpose or values
- Professional or ethical standards are not upheld
- The Member brings the CIC into disrepute
11.2 Termination is at the discretion of the Directors.
12. Data Protection
12.1 Member information will be:
- Stored securely
- Processed in accordance with UK GDPR
12.2 Information will only be used for:
- Communication
- Governance
- Operational purposes related to the CIC
13. Acceptance of Terms
By becoming a Member of Orion’s Embrace CIC, you confirm that:
- You have read and understood these Terms & Conditions
- You agree to the responsibilities of membership
- You accept the £1 liability under the Company Limited by Guarantee structure
- You support the purpose and values of the CIC
